Terms of Service

1. Who we are, and what these terms cover

These terms govern your use of Idle — the website, the interactive demo, and workspace accounts (together, the “Service”) operated by Idle (“Idle”, “we”, “us”). By using the Service you agree to these terms; if you use it on behalf of a company, you agree on that company's behalf and represent that you may do so.

2. What Idle is — and is not

Idle is software: treasury analytics and record-keeping for startups. Idle is not a bank, not a broker-dealer, not an investment adviser, and not a money transmitter or custodian. At its current footing the Service does not hold, move, or invest money or securities for anyone, and nothing in it is investment, legal, tax, or accounting advice. Capabilities that require a licensed partner — moving customer funds, purchasing T-bills — do not exist in the product and will not before that footing exists. 3. The demo

The Meridian Robotics demo is free, requires no account, and runs entirely on simulated data: a sample company with a deterministic ledger seeded in your browser, priced from live public market rates. Its transfers, accounts, and T-bill positions are simulations; no real accounts exist and nothing in the demo moves real money. Demo state lives in your browser's local storage and never reaches our servers.

4. Accounts and workspaces

Signing up (currently waitlist-gated) creates an account through our authentication provider, Clerk. Workspaces are organizations: you may create one, invite teammates, and assign roles (owner, admin, viewer). You are responsible for the accuracy of what you enter, for the actions taken under your account, and for keeping your credentials secure. Data you record in a workspace is yours; you grant us the license needed to store, process, and display it in order to operate the Service.

  • Workspace actions are recorded in an append-only audit log — who did what, when, and from where (client IP and coarse browser/OS family) — because a treasury tool without an audit trail is not one.
  • Role limits are enforced server-side: for example, viewers cannot initiate transfers.

5. Plans and billing

Starter is free. Paid plans (Growth, Scale) are billed as monthly subscriptions through Stripe; card details go to Stripe and never touch our servers. You can cancel any time from the billing portal. When a subscription ends, the workspace drops back to Starter and its limits — nothing is deleted. Prices, seat limits, and what each plan includes (marked live or coming soon, truthfully) are on the pricing page. We may change prices with notice before your next billing cycle.

6. Acceptable use

You agree not to:

  • break the law, or use the Service to launder money, evade sanctions, or misrepresent financial records;
  • probe, breach, or overload the Service, or access another organization's data;
  • misrepresent the Service — for example, presenting demo output as real account data, or Idle's analytics as investment advice;
  • resell or white-label the Service without our agreement.

We may suspend or terminate accounts that violate these terms. You may stop using the Service and delete your account at any time.

7. Market data and third-party services

Rates shown in the Service are public data from third parties (FRED, the U.S. Treasury), fetched server-side, cached, and shown with per-figure “as of” dates; when an upstream is unavailable the Service may fall back to a labeled snapshot. We do not guarantee that market data is accurate, complete, or current, and Idle is not affiliated with or endorsed by any data source or institution named in the product. The Service also depends on providers we build on — Clerk (identity), Stripe (payments), Neon (database), Vercel (hosting).

8. Intellectual property

Idle's source code, name, and branding are ours. These terms grant you access to the hosted Service, not a license to the code. The repository is no longer publicly published; copies of the code obtained while it was published under the MIT license remain governed by that license, which was never a license to pass a deployment off as Idle.

9. Disclaimers

The Service is provided as is, without warranties of any kind, express or implied — including merchantability, fitness for a particular purpose, and non-infringement. Figures the Service computes (yield-lost estimates, ladder projections) are educational math on public rates, not predictions, offers, or recommendations. You are responsible for your own financial decisions.

10. Limitation of liability

To the maximum extent the law allows, Idle will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, arising from your use of the Service. Our total liability for any claim is capped at the greater of $100 and the amount you paid us in the twelve months before the claim. Some jurisdictions limit these exclusions; where they do, they apply to the fullest extent permitted.

11. Changes, governing law, contact

We may update these terms; material changes will be announced on this page (and, for account holders, by email) before they take effect. Continued use after the effective date is acceptance.
